These Terms of Service ("Terms") govern access to and use of the Wigiwork platform, products, websites, mobile applications, services, and related tools (collectively, the "Services") provided by Wigiwork Inc., a Delaware Public Benefit Corporation ("Wigiwork," "we," "us," or "our").
Wigiwork is designed as a privacy-first, anonymity-focused professional discovery platform. While we implement technical and operational measures to protect user identity, no online system can guarantee absolute anonymity in all circumstances.
By creating an account, accessing, or using the Services, you ("Client," "Employer," "Company," "Recruiter," "User," or "you") agree to be bound by these Terms and the policies referenced in them. If you do not agree, you must not use the Services.
1. Introduction & Agreement
1.1 Who we are
Wigiwork is a privacy-first, anonymity-focused professional discovery platform that enables professionals to explore opportunities while giving verified employers structured, controlled access to talent.
The platform is designed around consent-based identity disclosure, where a user's identity is only revealed with their explicit approval through defined access workflows.
Wigiwork operates as a controlled-access professional discovery system and is not a recruitment agency, staffing firm, or employer. We do not employ candidates, represent candidates, or act as an intermediary in employment relationships.
Employers pay for access to candidate profiles, not ownership of candidate data. Access grants a limited right to review information for a specific hiring purpose and does not permit resale, redistribution, or external use beyond that purpose.
Wigiwork does not sell personal data to third parties. Any fees paid relate solely to platform access, features, and controlled interaction between users.
While Wigiwork is designed to protect user identity, anonymity depends on both platform controls and user behavior. Wigiwork cannot guarantee anonymity in cases where users voluntarily disclose information or where third parties act outside platform controls.
Wigiwork provides infrastructure for discovery and hiring workflows but does not control hiring decisions, negotiations, or employment outcomes between users.
1.2 Contracting entity
Your contract is with Wigiwork Inc., a Delaware Public Benefit Corporation, together with any affiliates that may support the provision of the Services.
1.3 Incorporation of related policies
These Terms work together with and incorporate by reference the following policies (collectively, the "Supplemental Policies"). Each forms part of your agreement with us:
- Acceptable Use Policy (AUP)
- Employer Account Rules
- Job Posting Rules
- Billing, Credits & Refunds Policy
- Payment Terms & Invoicing Policy
- ATS & Integration Notice
- Privacy Policy
- Your Privacy Rights
- Cookie Policy
- Data Protection Notice
- NDA & Confidentiality Notice
- Trademark & Brand Use Notice
- Any other policy or document we designate as part of the "Wigiwork Legal Terms"
If there is a direct conflict between these Terms and a Supplemental Policy, these Terms control unless the Supplemental Policy expressly states otherwise.
1.4 Acceptance of Terms
You accept these Terms when you:
- click to accept or agree (e.g., "I agree");
- create an account on the Services;
- use or continue using the Services after being notified of an update; or
- allow your employees or agents to access the Services under your organization's account.
If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and "you" refers to that entity.
1.5 Updates to these Terms
We may revise these Terms and the Supplemental Policies to reflect changes to the Services, legal requirements, or business needs.
- Notice of changes.For material changes, we will update the "Last updated" date and, where appropriate, notify you by email, in-product notice, or other reasonable means.
- Continued use. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
- If you do not agree. If you do not agree to updated Terms, you must stop using the Services and, if applicable, close your account.
1.6 Language and interpretation
The English version of these Terms controls. Headings are for convenience only. "Including" means "including without limitation."
2. Account Eligibility & Verification
2.1 Minimum age and capacity
You may use the Services only if:
- you are at least 18 years old (or the age of majority in your jurisdiction, if higher), and
- you have the legal capacity to enter into a binding contract.
2.2 Organization accounts
If you create or use an account on behalf of an organization:
- you represent and warrant you have authority to bind that organization;
- the organization is responsible for all activity under its account, including actions of employees, contractors, and authorized users ("Authorized Users").
2.3 Verification and onboarding
To protect candidates, employers, and platform integrity, we may request information and perform checks, which may include:
- company legal name and registration
- domain or business email verification
- industry, size, and operating locations
- identity verification of key individuals (e.g., account owner, billing contact)
- fraud-risk and location-based checks as described in our Privacy & Data Protection documents
You agree to provide accurate, complete, and up-to-date information. We may refuse, limit, suspend, or terminate access if verification fails, information appears inaccurate, or we determine an account presents elevated risk based on fraud, security, or compliance signals.
2.4 Employer Representation & Company Disclosure
Employers, recruiters, and agencies must provide the real hiring company associated with any job posting, search, or candidate access request.
You must be authorized to represent that company.
Anonymous or proxy posting may be displayed publicly; however, the real hiring company must always be disclosed to Wigiwork.
Providing false, misleading, or fabricated company information, or attempting to access candidates using a proxy or undisclosed company, constitutes a material breach of these Terms and may result in suspension, termination, or legal action.
2.5 Prohibition on use by certain entities
You may not use the Services if you are:
- located in or ordinarily resident in a country or region subject to comprehensive sanctions or embargoes that prohibit your use;
- listed on a sanctions or denied-parties list applicable to Wigiwork; or
- otherwise prohibited from using the Services under applicable law.
We may restrict or terminate access if we reasonably suspect a violation of this clause.
3. User Responsibilities
3.1 Account security
You are responsible for:
- maintaining the confidentiality of login credentials;
- ensuring Authorized Users use appropriate device security and strong, unique passwords;
- promptly notifying us of suspected unauthorized access or activity.
We are not liable for losses arising from compromised credentials where reasonable safeguards were not implemented. You are responsible for maintaining the security of your account and for all activity conducted under it.
3.2 Authorized Users and roles
For organization accounts:
- you control which individuals are Authorized Users;
- you are responsible for their compliance with these Terms and Supplemental Policies;
- you must revoke or adjust access when an Authorized User leaves or no longer requires access.
3.3 Lawful use and compliance
You must use the Services only:
- for legitimate hiring, talent discovery, workforce planning, or related HR processes;
- in compliance with all applicable laws (employment, equality, anti-discrimination, privacy, data protection, communications, etc.);
- consistent with these Terms and Supplemental Policies (especially the AUP, Employer Account Rules, and Job Posting Rules).
3.4 Information accuracy
You must ensure:
- company profiles and job postings are accurate and not misleading;
- salary and benefits information is honest and consistent with internal ranges, subject to reasonable negotiation;
- claims about remote/hybrid status, location, seniority, and contract terms are not deceptive.
You are solely responsible for content you provide and any legal consequences arising from it, including any misuse of candidate or employer information obtained through the Services.
3.5 Cooperation and support
You agree to cooperate in good faith with Wigiwork in:
- investigating suspected policy violations, fraud, or abuse;
- resolving candidate complaints related to your use of the Services;
- providing information required to comply with legal obligations (where permitted by law).
4. Prohibited Conduct
This Section summarizes key restrictions. The AUP provides more detail. Where there is conflict, the stricter rule applies.
You must not:
- Abuse anonymity or privacy, including by trying to identify candidates outside approved access flows or coercing personal identifiers before workflows allow;
- Scrape or harvest data, including by using bots/crawlers or building external databases, models, or tools based on Wigiwork data or Wigi Snapshot outputs;
- Misuse messaging, including spam, harassment, discriminatory content, or pressuring candidates to bypass safeguards;
- Circumvent platform controls, including by bypassing credits, access limits, or job caps, creating multiple accounts to avoid restrictions, or gaining unauthorized access;
- Compromise security, including probing or testing systems without authorization, introducing harmful code, or interfering with normal operation;
- Engage in illegal, fraudulent, or deceptive activity, including fake jobs, bait-and-switch roles, and misrepresenting your organization or authority.
- Attempt to identify, deanonymize, or infer the identity of any user outside of approved platform workflows. Any attempt to bypass anonymity protections, including through external research, cross-referencing, or misuse of accessed data, is strictly prohibited.
We may suspend, restrict, or terminate accounts for prohibited conduct and take additional action as described in the AUP and these Terms.
5. Intellectual Property & Brand Protection
5.1 Wigiwork IP
The Services, including Wigiwork's technology, user interfaces, designs, Wigi Snapshot outputs, Wigi-DNA™ mechanisms, Wigi IQ Labs models, and all related content (excluding "User Content" defined below), are protected by intellectual property and other laws.
All rights, title, and interest in and to the Services (including improvements and derivatives) belong to Wigiwork and its licensors.
5.2 Limited license to use the Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for internal hiring and workforce activities.
You may not:
- copy, modify, distribute, sell, or lease any part of the Services;
- decompile, reverse engineer, or attempt to extract source code except where permitted by law;
- use the Services to build, train, or validate a competing product or service.
5.3 User Content and license to Wigiwork
"User Content" means content you or your Authorized Users submit or provide (e.g., company data, job postings, communications).
You retain ownership of User Content. By providing it, you grant Wigiwork a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display the content as reasonably necessary to:
- operate and provide the Services;
- maintain, secure, and improve the Services;
- comply with legal obligations and respond to lawful requests.
We may also use aggregated, anonymized, or de-identified data derived from your use to operate, improve, analyze, and develop Wigiwork features and analytics, consistent with the Privacy Policy. Such data will not be used to identify individual users.
5.4 Feedback
If you provide suggestions or ideas ("Feedback"), Wigiwork may use them without restriction or obligation, including for improvement and marketing.
5.5 Brand and trademark use
Use of Wigiwork's name, logos, or trademarks is governed by the Trademark & Brand Use Notice. You may not:
- use our marks in a way that implies partnership or endorsement without written approval;
- register or use domains/handles confusingly similar to our marks.
6. Intelligence Systems & Recommendations
6.1 Use of Automated Systems
Wigiwork uses automated systems ("Wigi IQ Labs"™) to support anonymous discovery, shortlisting, and recommendation features. These systems operate only on professional and platform-related information provided by users.
Wigiwork does not use personal identity or protected demographic characteristics to determine relevance or ranking.
6.2 Anonymous Recommendations
Employers may be shown anonymous candidate listings that appear relevant to their stated hiring needs. Recommendations remain fully anonymous unless a candidate explicitly approves an Access Request.
Wigiwork does not guarantee that any specific candidate, job, or result will appear in search or recommendations, and visibility, ranking, and inclusion are determined solely by platform systems.
6.3 Shortlisting
Wigiwork automatically shortlists the candidates who appear most relevant for each job post. This is the system's first action: surfacing anonymous professionals whose profiles align with role requirements.
Shortlisting indicates that a candidate is suitable for further consideration (e.g., outreach, screening, interview) but does not guarantee fitness, selection, or hiring.
Shortlists evolve as profiles and job criteria change. Shortlisting does not reveal identity. Identity is disclosed only if the candidate approves an Access Request.
6.4 Automated Inclusion in Shortlists
If a candidate appears relevant to an employer's role, Wigiwork may automatically include that candidate in a shortlist. Identity is never disclosed unless the candidate approves access. Employers cannot manipulate or bypass this process.
6.5 Matching, Ranking & Display Rights
Wigiwork retains full discretion over how candidates, jobs, and recommendations are:
Users acknowledge:
- ranked
- ordered
- displayed
- included or excluded from shortlists
- surfaced in discovery or recommendations
- Wigiwork's systems determine what is shown, in which order, and to whom;
- visibility, placement, and ranking are not guaranteed;
- automated processes may determine relevance using professional information;
- Wigiwork is not required to disclose internal criteria, signals, or algorithm logic;
- attempts to reverse-engineer or interfere with these systems are prohibited.
Wigiwork reserves full discretion over how profiles, jobs, and content are categorized, displayed, or excluded across regions, markets, and system-defined segments.
6.6 No Paid Influence or Visibility Boosting
Wigiwork does not sell visibility boosts or pay-to-win ranking. Employers cannot purchase preferential placement in search, recommendations, or shortlists.
6.7 Wigi AI Assistant (Private, Isolated Container)
The Wigi AI Assistant helps candidates and employers refine profiles, role requirements, and professional content.
The Assistant operates in a private, isolated container tied only to that user. It:
- cannot access other users' data;
- does not share data with other users;
- does not train external or global systems;
- maintains isolated memory limited to that user's history.
All interactions remain anonymous and confidential.
6.8 Fairness & Non-Discrimination
Wigiwork's automated systems do not:
- use identity;
- use protected demographic attributes;
- rely on appearance, age, gender, ethnicity, or similar personal details;
- prioritize visibility based on payment.
Recommendations are intended to support fair, relevant, lawful hiring.
6.9 System Limitations
Automated recommendations and shortlisting are provided "as-is". Wigiwork does not guarantee their accuracy, completeness, or suitability. Employers remain solely responsible for independently evaluating candidates and making hiring decisions.
6.10 Profile Strength & Star Rating
Wigiwork displays a star rating ("Profile Strength") on candidate profiles to reflect profile completeness only.
Profile Strength:
- indicates how much optional professional information a candidate has provided;
- does not evaluate skill, ability, performance, or employability;
- does not use identity, protected traits, or personal attributes;
- may influence ordering or visibility in Discovery Search and shortlists.
Profile Strength never reveals identity.
7. Visibility, Access & Identity Controls
7.1 Anonymous profiles and visibility
Wigiwork is designed as an anonymous network. Candidate features include:
- anonymous or pseudonymous profiles;
- visibility modes and company-level filters;
- restricted access to identity until explicit approval.
You agree to respect and not bypass these protections. Any attempt to infer or expose identity outside approved workflows is a violation of these Terms.
7.2 Profile Access Requests
To view non-anonymous candidate details (e.g., name, contact information, extended history), you must request Access through Wigiwork.
Access is granted only if the candidate consents via the platform. Credits may be required, as governed by the Billing, Credits & Refunds Policy.
You must use accessed data solely for legitimate hiring purposes.
You are responsible for how you use any information accessed through approved requests. Wigiwork is not responsible for actions taken by users outside the platform.
7.3 Candidate Control & Revocation
Candidates may:
- decline Access Requests;
- revoke or limit visibility to specific employers or regions;
- change availability and contact preferences.
If a candidate revokes access, you must not re-contact them using previously obtained personal details, other than where retention/contact is strictly required by law.
Once access is granted, candidates may revoke future access; however, Wigiwork cannot control or prevent actions taken outside the platform, including screenshots, copies, or external storage of information.
7.4 Data Use Restrictions for Employers
When you obtain candidate details via Wigiwork, you must:
- use them solely for evaluation and hiring for legitimate roles;
- not sell or share data with third parties for unrelated purposes;
- not store, copy, or export data beyond what is reasonably necessary for the role;
- not build external databases, models, or long-term profiling systems from Wigiwork data.
Additional obligations are set out in the Employer Account Rules, Job Posting Rules, and NDA & Confidentiality Notice.
8. Confidentiality, NDA-Safe™ & Wigi-DNA™
8.1 Confidential Information
"Confidential Information" includes:
- candidate information (profiles, communications, Wigi Snapshot summaries);
- employer information (requirements, budgets, strategies);
- Wigiwork's non-public technical and business information;
- any information marked or reasonably understood as confidential.
Confidential Information excludes information that is publicly available without breach, already known lawfully, independently developed, or lawfully obtained from a third party without duty of confidentiality.
8.2 Confidentiality Obligations
Each party agrees to:
- use Confidential Information only as necessary to perform under these Terms;
- protect it using at least reasonable care;
- not disclose it to third parties except to personnel/service providers under similar obligations.
These survive termination while information remains confidential.
8.3 NDA-Safe™ Workflows
Wigiwork's NDA-Safe™ workflows:
- allow early exploration of roles without premature identity exposure;
- limit sharing of identifying information;
- reduce confidentiality risk in pre-contractual stages.
You agree to use the Services in a manner consistent with NDA-Safe™ protections.
8.4 Wigi-DNA™ Protections
Wigi-DNA™ refers to Wigiwork's mechanisms for:
- embedding invisible markers in certain outputs;
- detecting unauthorized redistribution or scraping;
- supporting fraud and abuse detection.
You agree not to remove, alter, or circumvent Wigi-DNA™ protections. While these mechanisms are designed to support traceability and deter misuse, they may not be effective if content is altered, captured externally, or used outside supported environments.
8.5 Required Disclosures
Nothing prevents disclosure of Confidential Information where required by law, subpoena, or court order, provided (where allowed) the disclosing party gives prompt notice and cooperates in efforts to limit or challenge the disclosure.
9. Safety, Security & Fraud Prevention
9.1 Data Protection Framework
Handling of personal data is governed by:
- Privacy Policy
- Your Privacy Rights
- Data Protection Notice
- any applicable DPA or regional addenda
Those documents control data protection practices if there is conflict.
9.2 Security Measures
Wigiwork implements technical and organizational measures to:
- protect confidentiality, integrity, and availability;
- limit unauthorized access;
- detect and respond to security events.
You acknowledge that no system is completely secure and that Wigiwork cannot guarantee absolute security or anonymity. You agree to implement reasonable security measures on your side.
9.3 Fraud Prevention & Risk
To protect the platform, Wigiwork may:
- use IP, device, network, and activity signals to detect unusual or high-risk behavior;
- request additional verification;
- temporarily restrict or suspend accounts under investigation;
- deny or revoke access where risk or non-compliance is unacceptable.
9.4 Incident Handling
If we learn of a security incident affecting personal data, we will:
- investigate and mitigate impact;
- notify you where legally required;
- cooperate with you where regulatory notification is needed.
10. Data Retention & Storage
10.1 Retention
We retain data only as long as necessary to:
- provide the Services;
- comply with legal/accounting/reporting obligations;
- enforce contracts and protect rights.
Specific periods are described in the Data Protection Notice.
10.2 Deletion & Account Closure
Upon account closure or valid deletion request (where law grants such rights), we will:
- delete or irreversibly anonymize personal data, subject to legal retention;
- keep limited records where needed for fraud prevention, disputes, audits, or compliance.
Technical delays (e.g., backups) may apply. Data will be deleted or anonymized within a reasonable period, and in most cases within 30 days, subject to legal, fraud-prevention, and compliance obligations.
10.3 Logs & Backups
Logs, backups, and archives may contain data for limited retention periods after removal from active systems. Such copies are subject to strict access controls and are deleted or anonymized according to policy.
11. Company Data, Employer Obligations & Business Rules
11.1 Accurate company and job information
Employers must:
- Provide accurate and up-to-date company profiles;
- Only post real, currently relevant roles;
- Clearly indicate location, remote/hybrid status, seniority, and employment type;
- Provide honest salary ranges consistent with internal bands and regulatory requirements.
Misleading or deceptive postings are prohibited under these Terms and under the Job Posting Rules.
11.2 Fair and non-discriminatory use
You must:
- Not use Wigiwork to unlawfully discriminate on the basis of protected characteristics (e.g., race, gender, age, disability, religion, nationality, etc.);
- Ensure that your use of the Services, including any filtering or search activity, complies with local anti-discrimination laws;
- Avoid specifying or implying discriminatory preferences in job postings or communications.
11.3 Use of Wigi Snapshot and structured data
Wigi Snapshot outputs (also referred to as Summary Insights) are designed to present professional information in a structured, anonymized format that removes or excludes direct identifiers, including names, employers, and personal details.
These outputs may be displayed across the Wigiwork platform and in controlled discovery or promotional contexts to support platform functionality, visibility, and network growth, while maintaining anonymity.
You may use Wigi Snapshot summaries and structured candidate data only:
- For internal hiring evaluation and related workflows;
- For as long as is reasonably necessary for the relevant role or hiring cycle;
- In compliance with these Terms, the AUP, the NDA & Confidentiality Notice, and applicable data protection laws.
You must not use Wigi Snapshot outputs to attempt to identify any individual, nor combine them with external data sources, tools, or datasets to reconstruct or infer identity.
You must not compile Wigi Snapshot outputs into external datasets or tools that compete with or replicate Wigiwork's services.
Wigi Snapshot outputs are provided for internal evaluation purposes only and must not be used to identify individuals outside the platform or combined with external datasets to reconstruct identity.
11.4 Credits, billing, and refunds
Your obligations regarding credits, billing, payments, candidate caps, and refunds are governed by the Billing, Credits & Refunds Policy. This includes:
- How credits are purchased, consumed, and expired;
- When refunds may or may not be issued;
- How paid features such as Profile Access and messaging are applied and charged.
By using any paid feature or purchasing credits, you agree to that Policy.
11.5 ATS and integrations
If you connect Wigiwork to an ATS or other third-party system:
- Data flows, snapshot fields, and access rules are governed by the ATS & Integration Notice;
- You remain responsible for configuring your ATS correctly and ensuring only authorized people can see Wigiwork-derived data in your ATS;
- You must not use ATS integrations to circumvent Wigiwork's visibility, anonymity, or access controls.
12. Geographic Access & Compliance
12.1 Regional availability
Wigiwork may not be available or fully functional in all countries or regions. We may:
- Limit or block access from certain jurisdictions for legal, regulatory, fraud, or risk reasons;
- Provide different features or legal terms based on your location.
Wigiwork may determine user location, categorisation, and visibility using system logic. Users may not appear in selected regions if the system determines otherwise.
12.2 Export control and sanctions
You must not use the Services in a way that causes Wigiwork to violate:
- Export control laws;
- Economic sanctions;
- Other trade restrictions.
If we reasonably believe your use of the Services violates export or sanctions rules, we may immediately suspend or terminate your access.
12.3 Local compliance responsibilities
You are solely responsible for:
- Complying with local employment, labor, privacy, and communications laws applicable to your use of the Services;
- Ensuring your job postings, offers, and hiring processes are lawful in the regions where you recruit.
13. Modifications, Service Availability & Termination
13.1 Changes to the Services
We may modify, improve, update, or discontinue any part of the Services at any time. Where a change is likely to have a material adverse impact on your use of the Services, we will use reasonable efforts to provide notice. We are not obligated to maintain any particular feature, integration, or user interface indefinitely.
13.2 Beta and experimental features
We may offer certain features as beta, preview, or experimental:
- Such features may be subject to additional terms;
- They may be changed or discontinued at any time;
- They are provided "as is," and you use them at your own risk.
13.3 Termination by you
You may terminate your use of the Services at any time by:
- Closing your account via in-product controls (if available), or
- Contacting Wigiwork support with a request to close your account.
Closing your account does not automatically entitle you to refunds for purchased credits or unused features, which are governed by the Billing, Credits & Refunds Policy.
13.4 Suspension or termination by Wigiwork
We may suspend, restrict, or terminate your access to the Services, in whole or in part, if:
- You violate these Terms or any Supplemental Policy;
- Your account is associated with fraud, abuse, excessive chargebacks, or high risk;
- We are required to do so by law, regulation, or court order;
- Continuing to provide the Services would expose us or others to legal, security, fraud, or business risks.
Where reasonable and legally permitted, we will provide notice of suspension or termination and, where appropriate, an explanation.
13.5 Effect of termination
Upon termination:
- Your license to use the Services ends;
- We may deactivate or delete your accounts and associated data, subject to retention obligations;
- Certain obligations (e.g., payment obligations, confidentiality, limitation of liability, dispute resolution) will survive.
14. Disclaimers, Limitations of Liability & Indemnity
14.1 No guarantee of results
Wigiwork does not guarantee:
- That you will successfully hire any candidate;
- Candidate response rates, engagement, or behavior;
- That job postings will receive any specific level of visibility, volume, timing, or candidate engagement;
- The accuracy or completeness of candidate-provided content.
The Services provide tools and intelligence; all hiring decisions and outcomes remain your responsibility.
Wigiwork does not guarantee anonymity outcomes where users voluntarily disclose information or where third parties act outside platform controls
14.2 Service "as is"
To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of dealing.
We do not warrant that:
- The Services will be uninterrupted, secure, or error-free;
- Defects will be corrected;
- The Services are free of viruses or harmful components.
This includes limitations relating to anonymity, identity protection, and third-party behavior.
14.3 Limitation of liability
To the fullest extent permitted by law:
- Wigiwork's total aggregate liability arising out of or relating to these Terms or the Services is limited to the greater of: (a) the amount you paid to Wigiwork for the Services in the 12 months preceding the event giving rise to the claim; or (b) USD $1,000.
- Wigiwork will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages.
These limitations apply whether the claims are based on warranty, contract, tort (including negligence), statute, or any other legal theory.
14.4 Exceptions
The limitations in this Section do not apply where prohibited by law, including liability for:
- Death or personal injury caused by our negligence;
- Fraud or fraudulent misrepresentation;
- Any other liability that cannot be excluded or limited under applicable law.
14.5 Indemnity from employers
To the extent permitted by law, you agree to indemnify and hold harmless Wigiwork, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services;
- Your violation of these Terms or any Supplemental Policy;
- Your job postings, hiring decisions, or employment practices;
- Your misuse of candidate data or Wigi Snapshot outputs;
- Any dispute between you and a candidate or third party.
15. Governing Law, Dispute Resolution & Miscellaneous
15.1 Governing law
These Terms and any disputes arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules.
15.2 Dispute resolution and venue
Before initiating a formal legal claim, the parties agree to attempt to resolve the dispute informally by:
- Notifying the other party in writing of the dispute; and
- Engaging in good-faith discussions for at least 30 days.
If the dispute is not resolved within that period, each party may pursue any remedies available under applicable law. Where allowed by law, the exclusive venue for any legal proceeding arising out of or relating to these Terms or the Services will be the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
15.3 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Wigiwork's prior written consent. We may assign or transfer these Terms, in whole or in part, without your consent, for example in connection with a merger, acquisition, or sale of assets.
15.4 Relationship of the parties
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Wigiwork. You are an independent entity and remain solely responsible for your employment and business decisions.
15.5 Third-party services
The Services may integrate with third-party tools (e.g., ATS providers, communication platforms). Wigiwork is not responsible for third-party services, including payment providers, integrations, or external platforms, and does not endorse or assume liability for them. Your use of third-party services is governed by those providers' terms and policies.
15.6 Notices
Notices to Wigiwork must be sent to the contact address specified on our website or in our legal documentation. We may provide notices to you via:
- Email to the primary contact on your account;
- In-product messages or notifications;
- Posting updates on our website.
Notices are deemed received when delivered or when made reasonably available.
15.7 Entire agreement
These Terms, together with the Supplemental Policies and any mutually executed written addenda (such as enterprise agreements or DPAs), constitute the entire agreement between you and Wigiwork regarding the Services and supersede any prior or contemporaneous understandings.
15.8 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced with a valid provision that most closely reflects the parties' original intent.
15.9 Waiver
Failure to enforce any provision of these Terms will not be a waiver of that provision or any provision.
