1. Governing Law
These Terms are governed by and interpreted in accordance with the laws of:
- the State of Delaware, United States,
without regard to conflict-of-law principles.
Wigiwork is headquartered in the United States and operates under U.S. legal jurisdiction, subject to applicable international laws and regulations where required.
2. Venue & Jurisdiction
Any dispute arising from these Terms or the use of Wigiwork shall be brought exclusively before:
- the state or federal courts located in Delaware, USA,
unless Wigiwork chooses an alternative forum under Section 15.3.
Users consent to the personal jurisdiction of these courts and waive any objection to venue, jurisdiction, or forum.
3. Cross-Border Enforcement Rights
Wigiwork reserves the right to pursue legal action in:
- the user's country of residence,
- the user's country of business incorporation, or
- any jurisdiction where the breach, harm, or misconduct occurred,
if doing so is necessary to enforce:
- confidentiality obligations,
- NDA-Safe™ rules,
- intellectual property rights,
- misuse or unauthorized distribution of content,
- fraud-prevention rules,
- or any other violation of these Terms.
This clause ensures Wigiwork may take action in any jurisdiction necessary to protect users, enforce obligations, prevent harm, and pursue remedies for violations of these Terms.
Wigiwork may enforce rights across jurisdictions regardless of where a user accesses the platform or where the breach originates.
4. Injunctive Relief
Wigiwork may seek immediate injunctive relief (court orders) in any jurisdiction to:
- stop unauthorized disclosure,
- prevent misuse of confidential information,
- protect intellectual property,
- or prevent ongoing harm.
Users agree Wigiwork would suffer irreparable harm without such relief and that such remedies are necessary to protect confidentiality, intellectual property, and platform integrity.
5. No Class Actions
Users agree that disputes with Wigiwork must be resolved individually, and not as part of any:
- class action,
- collective action,
- representative action.
Class or group-based litigation is waived to the fullest extent permitted by law, and users agree to resolve disputes on an individual basis only.
6. Time Limit to Bring Claims
Any claim against Wigiwork must be filed within one (1) year of the event giving rise to the claim.
Claims filed after this period are permanently barred to the fullest extent permitted by applicable law.
7. Assignment
Wigiwork may assign or transfer these Terms, in whole or in part, including in connection with:
- merger,
- acquisition,
- corporate restructuring,
- or sale of assets.
Users may not assign their rights or obligations without prior written consent from Wigiwork.
8. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be replaced with a valid provision that most closely reflects the original intent.
9. Waiver
Failure by Wigiwork to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
10. Entire Agreement
These Terms, including all referenced policies (Privacy Policy, Data Protection Notice, Cookie Policy, Employer Rules, Job Posting Rules, etc.), constitute the entire agreement between users and Wigiwork and supersede any prior or contemporaneous agreements, communications, or understandings.
Wigiwork reserves the right to enforce these Terms and associated policies to the fullest extent permitted by law in order to protect platform integrity, user anonymity, data security, fraud prevention, and compliance obligations.
